About SHAKE International

SHAKE International is an online marketplace that connects buyers and sellers of agricultural and earthmoving equipment ("Machinery") in South Africa and internationally. SHAKE International is operated by LEVIER (Pty) Ltd ("SHAKE", "we", "us", "our").

Acceptance of Terms

By creating an account or using the SHAKE platform, you agree to these Terms of Service ("Terms"), our Privacy Policy, and any additional role-specific terms. If you do not agree, you may not use the platform. If you register on behalf of a business, you warrant that you are authorised to bind that business.

Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts under South African law. The platform is intended for commercial buyers and sellers — not private individuals listing personal property.

Account Registration and Security

You must provide accurate, complete, and up-to-date information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at admin@levier.co.za if you suspect unauthorised access.

Buyer Terms

As a buyer, you acknowledge and agree that:

• Listings are provided by independent third-party sellers. SHAKE does not verify, inspect, or guarantee the accuracy, condition, availability, or title of any listed item.
• SHAKE does not handle payments, escrow, financing, or logistics. All transactions occur directly between you and the seller.
• Equipment may be sold before you enquire. Listing availability is not guaranteed at the time of enquiry.
• You are solely responsible for conducting your own due diligence, verifying the seller's identity, inspecting the equipment, and satisfying yourself before any purchase.
• SHAKE is not liable for any loss, damage, dispute, or claim arising from any transaction between you and a seller.

Seller Terms

As a seller, you agree that:

• All listings must be accurate, complete, and not misleading. You must not list equipment you do not own or are not authorised to sell.
• You must promptly mark any listing as sold or remove it once the equipment has been sold. Persistent stale listings may result in account suspension.
• SHAKE uses automated systems including artificial intelligence to detect potential sales based on conversation content (see Section 9). You expressly consent to this monitoring as a condition of using the platform.
• You are solely responsible for completing transactions, setting prices, arranging payment, and organising delivery or collection.
• Listing on SHAKE requires an active subscription plan. Plans are billed in advance and are non-refundable except as required by applicable law.
• SHAKE reserves the right to remove or suspend listings that are inaccurate, expired, fraudulent, or in breach of these Terms.

Prohibited Conduct

You may not use the SHAKE platform to:

• Post false, misleading, fabricated, or fraudulent listings or messages
• List stolen, encumbered, or unlawfully obtained equipment
• Harass, threaten, defame, or discriminate against other users
• Solicit off-platform transactions to circumvent SHAKE's accountability framework
• Introduce malicious code, scrape data, or interfere with platform operation
• Violate any applicable South African law or regulation

Subscription Plans and Payments

Seller subscription plans are billed monthly via Paystack. By subscribing, you authorise recurring charges to your chosen payment method. Cancellation takes effect at the end of the current billing cycle — no partial refunds are issued. SHAKE reserves the right to modify plan pricing with 30 days' notice to active subscribers.

Automated Message Monitoring — AI Sold Detection

By using the SHAKE messaging system, both buyers and sellers expressly consent to the following automated processing:

SHAKE uses large-language-model AI technology (Claude, developed by Anthropic PBC) to automatically analyse message content for the limited purpose of detecting whether a sale of listed equipment has been completed or agreed upon. The specific purposes are:

• Detecting sale-completion signals (e.g., agreed price, payment mentions, collection arrangements) so that sold listings can be promptly removed from the marketplace
• Maintaining the accuracy and trustworthiness of active listings for all users
• Supporting SHAKE's legitimate interest in operating a reliable marketplace

No human employee of SHAKE reads private messages for this purpose. Processing is automated. When a potential sale is detected, the relevant seller receives a notification and can confirm or dismiss the flag. Confirmed sold listings are removed from public view; the underlying data is retained for analytics and legal compliance.

This processing is conducted on the legal basis of legitimate interests under the Protection of Personal Information Act, 2013 (POPIA). If you do not consent to automated message monitoring, you may not use the SHAKE messaging system — this clause is a condition of use.

Intellectual Property

All platform design, code, branding, and content produced by SHAKE is the property of LEVIER (Pty) Ltd and may not be reproduced without written permission. You retain ownership of listing content you upload but grant SHAKE a non-exclusive, royalty-free licence to display it on the platform and in marketing materials for as long as the listing is active.

Disclaimers

The SHAKE platform is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, SHAKE disclaims all implied warranties including merchantability and fitness for a particular purpose. We do not warrant uninterrupted or error-free operation.

Limitation of Liability

To the maximum extent permitted by South African law, SHAKE's total liability to you shall not exceed the amounts paid by you to SHAKE in the 12 months preceding the claim. SHAKE is not liable for indirect, incidental, special, or consequential damages, including loss of profits or data, arising from your use of the platform. Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence.

Indemnification

You agree to indemnify, defend, and hold harmless SHAKE International, LEVIER (Pty) Ltd, and their respective directors, employees, and agents from any claims, losses, liabilities, or expenses (including reasonable legal fees) arising from your use of the platform, your listings, any transaction you enter into, or your breach of these Terms.

Changes to These Terms

We may update these Terms at any time. Material changes will be communicated to registered users by email at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.

Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the non-exclusive jurisdiction of the South African courts. Nothing in these Terms limits your statutory rights under the Consumer Protection Act, 2008, the Electronic Communications and Transactions Act, 2002, or POPIA.
